## I. General Provisions


1. These Terms and Conditions set out the general conditions, the method of providing Services electronically, and sales conducted through the Online Store [www.sinaloa-spa.pl](http://www.sinaloa-spa.pl). The Store is operated by SOUTH STREAM GAZ LIMITED LIABILITY COMPANY LIMITED PARTNERSHIP, headquartered in Bytom, at ul. Bończyka 20, 41-902 Bytom, registered by the District Court in Bytom, 17th Commercial Division of the National Court Register, under KRS number: 0000615632, NIP: 6263020291, REGON: 363208972, with a share capital of PLN 5,000.00, hereinafter referred to as the “Seller.”

3. These Terms and Conditions are continuously available on the website [www.sinaloa-spa.pl](http://www.sinaloa-spa.pl) in a manner allowing their acquisition, reproduction, and storage of their content by printing or saving to a medium at any time.


4. The Seller informs that the use of Services provided electronically may pose a risk for every Internet user, consisting of the possibility of harmful software being introduced into the Client’s IT system, as well as unauthorized access and modification of their data. To minimize such risks, the Client should use appropriate technical safeguards, particularly antivirus software and a firewall.

## II. Definitions


The terms used in these Terms and Conditions mean:


1. **Business Days** – days from Monday to Friday excluding public holidays.

2. **Client** – a natural person with full legal capacity, a sole trader, a legal person, or an organizational unit without legal personality, which the law grants legal capacity, who places an Order within the Online Store or uses other Services available in the Online Store.

3. **Civil Code** – the Act of 23 April 1964 (Journal of Laws No. 16, item 93, as amended).

4. **Account** – the part of the Online Store assigned to a given Client, allowing the Client to perform specific activities within the Online Store.

5. **Consumer** – a Client who is a consumer within the meaning of Article 22\[1] of the Civil Code.

6. **Entrepreneur** – a Client who is an entrepreneur within the meaning of Article 43\[1] of the Civil Code.

7. **Terms and Conditions** – this document.

8. **Sales Agreement** – an agreement for the sale of Goods within the meaning of the Civil Code, concluded between the Seller and the Client.

9. **Services** – services provided by the Seller to Clients electronically, within the meaning of the Act of 18 July 2002 on the provision of electronic services (Journal of Laws No. 144, item 1204, as amended).

10. **Consumer Rights Act** – the Act of 30 May 2014 on consumer rights (Journal of Laws 2014, item 827).

11. **Act on the Provision of Electronic Services** – the Act of 18 July 2002 on the provision of electronic services (Journal of Laws No. 144, item 1204, as amended).

12. **Order** – the Client’s declaration of intent, aimed directly at concluding a Sales Agreement, specifying in particular the type and quantity of Goods.

## III. Services


1. The Account service is available after registration. Registration is carried out by completing and accepting the registration form provided on the website. The agreement for the provision of the Account service in the Online Store is concluded for an indefinite period and terminates upon the Client’s request to delete the Account.


2. The Client may receive commercial information from the Seller via e-mails sent to the address provided by the Client (Newsletter Service). To do this, a valid e-mail address must be provided, or the appropriate field in the registration or Order form must be activated.


3. The Seller has the right to organize occasional competitions and promotions, the conditions of which will be provided on the Online Store website. Promotions in the Online Store cannot be combined unless the Terms and Conditions of a given promotion provide otherwise.


4. In the event of a Client’s violation of these Terms and Conditions, the Seller, after an ineffective request to cease or remedy the violation within a specified time, may terminate the agreement for the provision of Services with 14 days’ notice.

## IV. Prices and Payment Methods


1. Service prices are given in Polish zlotys and include all components, including VAT, customs duties, and other charges.


2. The Client may choose the following payment methods:

   a. bank transfer to the Seller’s account,

   b. cash,

   c. electronic payment.

## V. Exchanges, Returns


1. The Seller cannot refund the deposit if the reservation is canceled later than 10 days before the agreed date.


2. The Seller allows the Client to change the reservation date, but no later than 10 days before the reservation. Requests for changes may be made via e-mail: [info@sinaloa-spa.pl](mailto:info@sinaloa-spa.pl) or by phone: +48 888 615 188.


3. A change of date is possible only to a date available on the Sinaloa Spa website.


4. If the new service price is lower, the difference will not be refunded.


5. If the new service price is higher, the new reservation will be confirmed within 7 days of receiving payment of the price difference. To speed up the process, the Client may provide proof of payment.

## VI. Complaints


1. Complaints regarding violations of the Client’s rights guaranteed by law or these Terms and Conditions should be directed to ul. Bończyka 20, 41-707 Ruda Śląska.


2. To process the complaint, the Client should send or deliver the complained Goods, if possible with proof of purchase, to the address specified in section 3.


3. The Seller undertakes to review each complaint within 14 days.


4. If a complaint is incomplete, the Seller will request the Client to supplement it within 7 days of receiving the request.

## VII. Complaints Regarding Electronic Services


1. The Client may submit complaints regarding Services electronically or in writing to Sinaloa Spa, ul. Bończyka 20, 41-707 Ruda Śląska, e-mail: [info@sinaloa-spa.pl](mailto:info@sinaloa-spa.pl), phone: +48 888 615 188.


2. In the complaint, the Client should provide their name, address, and a description of the problem.


3. The Seller undertakes to respond to each complaint within 14 days, or if this is not possible, to inform the Client within that period when the complaint will be considered. If the complaint is incomplete, the Seller will request supplementation within 7 days.

## VIII. Out-of-Court Complaint and Redress Procedures


1. A Client who is a Consumer may use out-of-court complaint and redress procedures, including:

   a. applying to a permanent consumer arbitration court operating at the Trade Inspection,

   b. applying to the provincial inspector of the Trade Inspection for mediation proceedings,

   c. obtaining free assistance from the district (municipal) consumer ombudsman or consumer organizations (e.g., Federation of Consumers, Association of Polish Consumers). ## IX. Personal Data Protection


The Seller collects and processes Clients’ personal data in accordance with applicable laws and the Privacy Policy available on the Store’s website.

## X. Final Provisions


1. The provisions regarding withdrawal from the contract and complaints applicable to Consumers also apply to natural persons entering into a contract directly related to their business activity, provided the contract is not professional in nature for them, as indicated by the Central Register and Information on Economic Activity. Provisions on out-of-court dispute resolution do not apply.


2. Any disputes arising between the Seller and a Client who is a Consumer shall be resolved by competent courts in accordance with the provisions of the Code of Civil Procedure.


3. Any disputes arising between the Seller and a Client who is an Entrepreneur shall be resolved by the court competent for the Seller’s registered office.


4. In matters not regulated by these Terms and Conditions, the provisions of the Civil Code, the Act on the Provision of Electronic Services, the Consumer Rights Act, and other applicable Polish laws shall apply.


5. Clients will be informed of any changes to these Terms and Conditions via the Online Store’s main page, with a list of changes and their effective date. Clients with Accounts will also be notified by e-mail. Changes will not take effect earlier than 14 days from their announcement. If a Client with an Account does not accept the new Terms and Conditions, they must notify the Seller within 14 days. Such notification results in termination of the Agreement.
